Your Acceptance<\/span><\/p>\n Cryptoloc Technology Pty Limited (including any and all subsidiary companies). (Your Digital File) Terms of Use, in conjunction with the\u00a0 Privacy Policy and other terms and conditions of use is a LEGALLY BINDING CONTRACT between Your Digital File and you, hereinafter referred to as \u201cthe Agreement\u201d.<\/span><\/p>\n By clicking the \u201cCheck\u201d box (at the time of registration), you are confirming that you have read and understood the Terms of Use. IF YOU DO NOT FULLY AND COMPLETELY AGREE TO THE TERMS OF THE AGREEMENT, DO NOT USE THIS SERVICE. IF YOU CHOOSE TO CONTINUE TO USE THE SERVICES, YOU ARE AGREEING TO BE BOUND BY THE AGREEMENT.<\/span><\/p>\n \u200b<\/span>Your Digital File may modify the Terms of Use which will become effective immediately upon its posting on the website. Your continued use of the website and any associated services confirms your acceptance of the modification or revisions. If you are dissatisfied, or not prepared to comply, with anything related to the Your Digital File website, your sole remedy is to discontinue use of the Service. You use the Services of Your Digital File is at your own risk. Nothing in the Terms of Use shall be deemed to confer any third-party rights or benefits.<\/span><\/p>\n \u200b<\/span>The Services<\/span><\/p>\n The Terms of Use apply to all users of the Services provided by the Your Digital File website, including users who contribute or store Content. \u201cContent\u201d includes all files uploaded to the service and information entered into the service, including any client software.<\/span><\/p>\n Your Digital File may change, suspend or discontinue all or any aspect of the Service at any time, including the availability of any feature, database or Content, without prior notice or liability.<\/span><\/p>\n \u200b<\/span>Fair Use Statement<\/span><\/p>\n Whilst there is no limitation on the frequency or extent of use of the service, Your Digital File reserves the right to place technical limits on your use of the service in order to maintain serviceability, availability and performance for all users which Your Digital File, in its sole and absolute discretion, considers fair and reasonable.<\/span><\/p>\n \u200b<\/span>Your Digital File Accounts Terms and Conditions<\/span><\/p>\n When you create an account with Your Digital File, the first month of use is a trial period. If you terminate the account during the trial period by notifying Your Digital File, there will be no charge. If you continue to use Your Digital File services, at the end of the trial period you will become liable for fees to use the service.<\/span><\/p>\n \u200b<\/span>If your account is a personal account, payment is due immediately following the end of the first month. If your account is subscribed to an Annual plan, you will be billed for 12 months in advance, as a single payment. If your account is subscribed to a Monthly plan, you will be billed each month. Payment will be deducted from your nominated credit card. If your account is a business account and the payment method is not by credit card, then payment is due within 14 days of invoicing.<\/span><\/p>\n \u200b<\/span>If you fail to pay within the terms and conditions of your account, services will be suspended and may be terminated. If your service is terminated we make no commitment to the continued retention of your files beyond 90 days of termination. We will make reasonable efforts to contact you to inform you that your account has been suspended to allow you to pay any arrears and reactivate the account before termination occurs.<\/span><\/p>\n \u200b<\/span>Services are automatically renewed for successive terms at the then-current service price unless terminated or cancelled by you orYour Digital File.<\/span><\/p>\n You agree to pay all account charges and any applicable taxes and other fees that accrue in relation to your use of the Services. A more detailed description of premium services and the features can be found on the \u201cMy Account\u201d page.<\/span><\/p>\n \u200b<\/span>You may cancel a subscription at any time through the \u201cMy Account\u201d page. Your account will remain active for the remainder of the term for which you have previously paid. Your Digital File may, without compensation or proration, cancel your subscription in the event of non-payment or dispute of payment or if you violate any terms or conditions of the Agreement.<\/span><\/p>\n \u200b<\/span>Refund Policy<\/span><\/p>\n ALL REFUND REQUESTS are handled on a case-by-case basis. Following a review of usage purchases and other factors, Your Digital File will determine if you qualify for a refund. If you feel you are due a refund, contact Your Digital File by email at refund@yourdigitalfile.com.<\/span><\/p>\n \u200b<\/span>If you consider that a charge has been incorrectly debited to your account, contact Your Digital File by email at refund@yourdigitalfile.com. Your Digital File will endeavour to promptly refund any charge incorrectly debited to your account.<\/span><\/p>\n \u200b<\/span>General Use of the Service, Permissions, and Restrictions<\/span><\/p>\n You agree while using Your Digital File Services, that you may not:<\/span><\/p>\n Your Use of the Services<\/p>\n In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of the Services. You will comply with laws regarding transmission of data. You acknowledge that your use of the Service is at your own risk and that you, not Your Digital File, are responsible for the secure storage of your Private Key and Password. Your Digital File will not be liable for any loss or corruption to your content as a result of your failure to securely store your Private Key or Password.<\/span><\/p>\n \u200b<\/span>Your Content and Conduct<\/span><\/p>\n You shall be solely responsible for your own content and solely responsible for the consequences of storing or distributing your Content on the Services. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to distribute Content through the Services.<\/span><\/p>\n \u200b<\/span>For clarity, you retain all of your ownership rights in your Content. Your Digital File does not claim any ownership in or to your Content. Nothing in this Agreement grants Your Digital File any rights to your Content.<\/span><\/p>\n \u200b<\/span>Your Digital File does not endorse any Content stored on or distributed through the Services and Your Digital File expressly disclaims any and all liability in connection with Content.<\/span><\/p>\n \u200b<\/span>You agree that Your Digital File may terminate your access to the services if your content violates this agreement.<\/span><\/p>\n You control your data through your Private Key and your Password. Your Digital File bears no responsibility for the storage of your Private Key. Your Private Key is generated on your computer upon initial signup and available to you only. You agree to retain your Private Key and Password is a safe manner and not disclose it to others.<\/span><\/p>\n \u200b<\/span>If your Private Key is lost or misplaced you must follow the procedure outlined in the \u201cAccount Recovery\u201d section of the login page to recover your account. You acknowledge that an Escrow Agent, appointed by Your Digital File, holds part of your file encryption keys. You acknowledge that an undertaking will be given to you by the Escrow Agent, that unless otherwise required by law, your file encryption keys will not be released until you have fulfilled the verification procedure required by Your Digital File, and both you and Your Digital File have directed the Escrow Agent to release your file encryption keys. There is a fee payable to Your Digital File for the retrieval of your encrypted files. A new password will be required and a new Private Key will be generated for your account. Account recovery fees will be charged to your credit card or added to your next invoice.<\/span><\/p>\n\n
